A man was awarded $1 million from his ex-employer thanks to an equity agreement that was written on a napkin while drinking.

(Source)- A million-dollar settlement struck over the weekend in a Dallas County lawsuit would have been unremarkable if not for the cocktail napkin. Jonathan Kolniak sued his former employer in March 2017 over a claim he was owed more than $9 million for his equity stake in his old employer. The paperwork for that agreement between Kolniak and ex-boss James Ballengee was scribbled out on a cocktail napkin from the Rosewood Mansion on Turtle Creek.

Kolniak alleged the agreement on the napkin gave him 2 percent equity ownership in Addison-based Bridger Logistics, a crude oil logistics company. Attorney Brian N. Hail said his client was supposed to help Ballengee build the company in preparation for its eventual sale. That happened in 2015 when propane powerhouse Ferrellgas bought Bridger Logistics for $820 million. After debt was backed out, Kolniak’s share should have been $9.35 million, according to the lawsuit.

In a court filing, Ballengee said the napkin agreement was “vague and incomplete” and the result of a “night of drunkenness.” The court filing also said the 11-word agreement didn’t specify the company in which Kolniak would get equity. Ballengee claimed the “2% of option” was to a different company, Ballengee Interests, according to a court filing. Kolniak’s salary ($100,000), benefits and commission were also spelled on the napkin. After Kolniak went to work for Ballengee, the two settled on a buyout of Kolniak’s equity. He eventually agreed to accept $2 million and had already received $400,000 when their dealings fell apart, according to his lawyer.

Since that equity buyout was never completed, Kolniak argued that he still had his 2 percent when Bridger Logistics was sld. Hail said the defendants took advantage of his client. But he said Kolniak is still satisfied with the outcome, even though it was a $1 million napkin rather than a $9 million one.

Fuck coming in early, leaving late, and working on weekends. The secret to wetting the beak is to literally wet your beak at the work happy hour you were planning on skipping, getting your boss’s boss drunk, and having him sloppily scribble down his name on a napkin giving you 1% of a company while you laugh it up over some seasonal craft beer drafts and overpriced sliders. It apparently doesn’t even have to be the company you technically work for. Just throw your name, some of your work stats, and your company’s Big Swinging Dick (or Lady Dick), and you too can cash in on your share of the American dream. The fact that nobody in this company was ready to pull a Mac from Always Sunny with this guy’s only piece of evidence is mind-bottling* and proof they deserved to lose the case.

The only bummer of this story is that it came came out today instead of last week when we held a very rare Barstool happy hour.

If this story had been published last week, I could have tried to weasel my way into the Barstool Equity Club. To be honest, that ship has probably sailed for me since I don’t have the tenure or talent of the guys that built this blog to what it is today and I definitely don’t have the talent to become a member of that club now. But I definitely think I have the ability to load up Davey Pageviews with a few chardonnays and then ask him to sign a napkin because he was my favorite Little League superstar. Dave would of course oblige because he’s Dave and loves when people bring up his athletic glory days. My smile and happy-go-lucky demeanor would disarm any reservations he may have for an okey doke being pulled. Afterwards I could simply fill out my own terms for the contract and wait for Dave to finally cash the rest of his Barstool chips in. Once he did, I could just show him my napkin and wait for the direct deposit to hit. Knowing Dave, he probably wouldn’t even bring this to court because he would respect the move while also realizing that the most important legal note in Barstool Sports history was written on a napkin as well.

A major shake-up in the agent business has led to the formation of the new Ballengee Group, according to major league sources with knowledge of the situation. Up-and-coming agents Scott Barber (formerly of CSE), Scott Lonergan (formerly of MVP Sports Group) and Jeff Randazzo (formerly of MVP) have united to form the Dallas-based agency, named for James Ballengee, a powerful Texas businessman and big name in the oil logistics industry.

Ballengee, 49, is the founder as well as the Executive Vice President and Chief Commercial Officer of Bridger, LLC, an Addison, Texas-based oil company ranked by Inc. Magazine as the fourth-fastest-growing privately held company in the United States last year. It accumulated more than $3.487 billion in revenue in 2013. Before working for Bridger, Ballengee was the CEO of Taylor Logistics, LLC, which became "one of the leading providers of crude oil transportation in the United States,"  according to Bridger's website .

Throughout his career, Ballengee has formed deep friendships with many top professional athletes and has always shown an interest in getting into the sports industry, according to people close to him who note that his goal in creating the agency is to try to change the way things are done in the agent business. Ballengee has expressed frustration with how athletes have been underserved by agents in the past and is trying to make a difference in the industry, leading to the creation of a firm that sources say will be focused on family values, philanthropy and best-in-class services.

Sources say that the group's goal will be to "continually challenge the status quo" by listening to its clients and employees about how things can be done differently and better in the agency business. Ballengee recently surveyed numerous professionals within sports (including agents) about what they would do to change the nature of representation business, and decided to launch Ballengee Group in order to put those ideas into practice.

According to multiple certified agents speaking on conditions of anonymity, many players throughout baseball are moving towards smaller, values-based agencies in an effort to not get lost in the shuffle of large firms.

"Players are starting to realize that bigger isn't better," one agent associated with a smaller certified agency said. "Players are picking up on the backstabbing nature of the agent business and are shying away from bigger firms due to those concerns. There are firms who are small and do it the right way."

Ballengee Group is expected to retain almost all of the clients previously held by the four agents, including more than a dozen major leaguers as well as many prospects and recent top draft picks. Their current and evolving roster ranges from three-time All-Star Heath Bell (free agent) to rookies like Kyle Parker ( Rockies ), as well as 2014 top picks Michael Kopech ( Red Sox ), Chase Vallot ( Royals ), Daniel Gossett ( Athletics ), Alex Verdugo ( Dodgers ) and Joe Gatto ( Angels ), and top prospects Tim Cooney ( Cardinals ), Kyle Waldrop ( Reds ), Nick Wells ( Blue Jays ), Jacob May ( White Sox ) and Tom Murphy (Rockies).

As first reported by Jon Heyman of CBSSports.com , Dan Lozano's MVP Sports Group recently lost Lonergan and Randazzo as well as agent Brian Mejia, who appears to be bringing most of MVP's Latin clientele (including the Cardinals' young stars Carlos Martinez and Oscar Taveras ) to an unidentified larger agency. Rockies pitcher Tyler Chatwood also left MVP and is now represented by Bob Garber of RMG Baseball, according to a major league source.

Barber, an attorney whose agency experience goes back to the Hollywood powerhouse William Morris Agency, spent the last several years co-managing the longstanding baseball division at CSE in Atlanta alongside Senior Vice President Keith Grunewald. Barber was also part of the general counsel at CSE, which additionally represents top coaches and broadcasters in its client representation divisions. Notable CSE clients include John Smoltz , Doc Rivers and Ernie Johnson Jr.

Lonergan, a former pitcher in the Red Sox system and club executive with the Padres and Cubs , has made a name for himself on the player representation side of the industry after spearheading a couple successful drafts including a 2014 campaign that saw him sign seven players who were taken in the top 100.

Randazzo, a fourth-round pick of the Twins in 1999, parlayed his playing career into becoming an agent in 2005 with the agent who represented him, Rick Oliver. Randazzo helped build the firm from one player in Japan into a respectable business with over a dozen major leaguers and more than 40 minor leaguers.

After joining MVP Sports Group in 2012, Lonergan and Randazzo helped institute a draft advisory process that saw the company increase draft bonuses negotiated from roughly $2 million per year to over $15 million in just two years, in addition to helping MVP Sports Group crack the top 10 of Forbes' world's most valuable agencies list during that time. MVP Sports Group is notable for representing stars such as Albert Pujols , Joey Votto , Jimmy Rollins , Nick Swisher and Carlos Beltran .

Oil executive launches sports agency

An oil company entrepreneur has launched a sports agency focused on representing baseball players and MMA fighters.

The sports agency business is in a state of consolidation, and the creation of the Ballengee Group, which is based in Dallas, with offices in Los Angeles and Atlanta, is the latest example of the trend.

The baseball agents who joined Ballengee Group include Jeff Randazzo and Scott Lonergan, formerly of MVP; Scott Barber, formerly of CSE; and Michael Sanders, formerly of Perennial. Additionally, agent Lloyd Pierson and attorney Dan Kaufman, who also both formerly worked at Perennial, have joined Ballengee Group.

“We currently have a stable of minor league and major league clients that would make us a small to midsized firm right now,” Barber said. But he declined to say how many players the firm had agreements to represent or name any of them, saying that the players were in transition.

Ballengee Group also represents brother MMA fighters Nick and Nate Diaz. Pierson is their primary agent. Ballengee recently negotiated a deal for Nick Diaz to fight Ultimate Fighting Championship middleweight champion Anderson Silva in Las Vegas on Jan. 31, during Super Bowl weekend.

“Right now our primary focus is baseball and we have a small niche within MMA, however we are not opposed to getting into other areas as long as it’s the right fit for who we are as an agency,” Ballengee wrote in an email.

Ballengee is the chief marketing officer and one of the founders of oil transportation and logistics company Bridger, which was ranked this year as one of the fastest-growing companies in America by Inc. magazine with 2013 revenue of $3.487 billion.

Asked whether the firm might expand into other sports, Ballengee said he would always look at other opportunities, “but we won’t grow for the sake of growth.”

Ballengee is overseeing the hiring of agents, with assistance from Pierson and Barber. Other baseball agents may be added to the firm in the coming months, they said.

Pierson, Kaufman and Sanders joined Ballengee Group in April. All formerly worked at Perennial Sports & Entertainment. Kaufman and Sanders left in August of last year. Pierson left Perennial in February 2010 and was working at his own firm, Pierson Sports Management, before joining Ballengee Group as managing principal. Perennial Sports & Entertainment declined to comment for this story.

Barber worked at CSE and joined Ballengee Group in June. CSE declined comment for this story. Randazzo and Lonergan left MVP Sports last month for Ballengee Group.

The parting was amicable, said Dan Lozano, MVP Sports Group CEO and founder. “I also made it clear to them that I had no issue whatsoever if any of their clients chose to go with them. They are great guys with bright futures and I truly wish them nothing but the best.”

The Dallas Morning News  reported on Brian Hail 's $1 million cocktail napkin case today.

Jonathan Kolniak sued his former employer in March 2017 over a claim he was owed more than $9 million for his equity stake in his old employer. The paperwork for that agreement between Kolniak and ex-boss James Ballengee was scribbled out on a cocktail napkin from the Rosewood Mansion on Turtle Creek. "The lesson to be learned is you need to be careful what you put down in writing and sign, no matter what the circumstance," Hail said.

A man from Texas has managed to secure himself a million-dollar payout all because of an agreement that was written on the back of a cocktail napkin.

Jonathan Kolniak sued his former employer in March 2017 over a claim he was owed more than $9 million for his equity stake in his old employer.

Kolniak insisted that the agreement on the napkin gave him a two percent equity ownership in Addison-based Bridger Logistics, a crude oil logistics company.

The sale finally happened in 2015 when Ferrellgas bought Bridger Logistics for $820 million. 

Kolniak worked out that he should have received a share of around $9.35 million from the sale.  

But Ballengee disagreed saying the agreement on the napkin was 'vague and incomplete' and as a result of a 'night of drunkenness.'

He said that the agreement did not state even the name of the company that Kolniak would get equity.

Ballengee claimed the '2% of option' was for a totally different company.

Ballengee decided that because there was 'no deal' in the first place, his company wasn't going to pay Kolniak anything more.

It was then that Kolniak decided to launch a lawsuit.   

Kolniak has now managed to secure another $1 million dollars and tells the Dallas News that he is satisfied with the outcome despite it being considerably less than the original $9 million agreement. 

Hail said he had never seen such an agreement in the 28 years he has been working as a lawyer. 

'The lesson to be learned is you need to be careful what you put down in writing and sign, no matter what the circumstance,' Hail said.

Vivakor Chairman and Chief Executive Officer James Ballengee commented, "I want to thank our shareholders for their overwhelming support in favor of these now passed proposals. Of note, I would like to point out that I am now the single largest shareholder and have accepted the Acquisition Stock Issuance and CEO Compensation Shares at $1.08 and $1.42 per share, which is currently 42% and 87% above Vivakor's current market price, respectively. Moving forward, I intend to continue receiving 100% of my annual salary in Vivakor common stock which underlies my belief in the future of the Company. On October 28, 2022, Vivakor, Inc. entered into an executive employment agreement with James Ballengee with respect to the Company's appointment of Mr. Ballengee as Chief Executive Officer and Chairman of the Board of Directors. Mr. James H. Ballengee combines more than two decades of experience in midstream oil and gas senior management roles. Previously, he had been involved in two major private equity portfolio companies holding positions including Chief Commercial Officer, Chief Financial Officer, Chief Executive Officer, and Chairman of the Board.

From 1997 through 2010, Mr. Ballengee served first as Chief Financial Officer, then Chief Executive Officer, then Chief Commercial Officer of Taylor Logistics, LLC, a Halifax Group-backed private equity portfolio company focused on crude oil marketing and logistics, which he led through a successful sale to Gibson Energy, Inc. From 2010 to 2013, he was Chief Executive Officer and Chairman of the Board of Bridger Group, LLC, a private crude oil marketing firm. From 2013 to 2015, he was a board member and Chief Commercial Officer of Bridger, LLC, a Riverstone Holdings-backed private equity portfolio company focused on crude oil marketing and logistics, which he led through a successful sale to Ferrellgas Partners, LP. Mr. Ballengee currently manages an exempt family office, which in turn holds and manages investments principally in the oil and gas, sports and entertainment, and real estate sectors.

He has an undergraduate degree in accounting from Louisiana State University—Shreveport. The Board believes that Mr. Ballengee's experience in management and operations and his extensive knowledge in the midstream petroleum industry makes him ideally qualified to help lead the Company towards continued growth and success.

Trainer Lyakhov, jockey Kappushev register double

31 August 2018, Kazan, Tatarstan ~ Trainer A.A Lyakhov and ace jockey A. Kappushev scooped a brilliant double winning both the races under the banner of the HH Sheikh Mansoor Bin Zayed Al Nahyan Global Arabian Horse Flat Racing Festival on Thursday, 30 August 2018, at the Kazan Hippodrome in Tatarstan’s capital city of Kazan.

Kappushev scored a fine win on Arab Queen in the Sheikh Zayed Bin Sultan Al Nahyan Cup which carried a prize fund of €30,000 and had attracted the 13 Purebred Arabian horses.

Irbis under A.A Alberdiev finished second while in third place was Saladin ridden by D.D Sukhanov in the 1600-metre contest. The winning time was 1:52.51.

The ace jockey then rode another winner for trainer Lyakhov when Vasilevs won the €5000Wathba Stallions Cup open to 2-year-old Purebred Arabian horses. Vaselevs under Kappushev finished ahead of Convention ridden by Nikolay Ukhvanov and Tanks took third under Omurkhanov.

In the HH Sheikh Mansoor Bin Zayed Al Nahyan Global Arabian Horse Flat Racing Festival’s HH Sheikha Lateefa Bint Mansoor Bin Zayed Al Nahyan International Pony championship race, 19 young kids took part in the Kazan leg of the series.

Nine-year-old Nina Mozheva won the race and will now feature in the final of the pony race series which will be held in Abu Dhabi in November.

His Excellency Rustam Minnikhanov, President of the Republic of Tatarstan , HE Vasil Shaikhraziew, Deputy Prime Minister of the Republic of Tatarstan , Ms. Lara Sawaya , Executive Director of the HH Sheikh Mansoor Bin Zayed Al Nahyan Global Arabian Horse Flat Racing Festival, General Manager of Wathba Stallions, Chairperson of the International Federation of Horse Racing Academies (IFHRA), Chairperson of Ladies & Apprentice Racing Committees in the International Federation of Arabian Horse Racing Authorities (IFAHR) graced the races that was held to mark the Tatarstan National Day on August 30.

Ms Sawaya presented a badge carrying the image of the Late Sheikh Zayed Bin Sultan Al Nahyan to HE Rustam and the Tatarstan President proudly sported it on his coat.

“ It was a matter of great pride that the top leadership of Tatarstan attended the races. This year the UAE is celebrating the 100th birth anniversary of the Late Sheikh Zayed, a passionate promoter of Arabian horses. Once again the Purebred Arabian races under the Festival’s banner was a huge success and even the pony jockeys showed a lot of promise ,” said Ms Sawaya.
